Motherboard fsb 800mhz and new cpu 1066mhz problem?

i just bought a new cpu core 2 duo e7400 1066mhz fsb but my motherboard only supports 800mhz max and 1066mhz overclock but i can not overclock because of a locked bios so my question is would this still work on my 45gm/cm foxconn motherboard better then my old pentium duel core e2220 thanks.
